Your membership in Sudaroo will imply acceptance of all terms and conditions.

General Terms and Conditions


The user's use of Sudaroo in any form implies full awareness of this contract's terms and acceptance of all its provisions and the rules for its use. This contract and other guidelines communicated publicly or directly to the user through Sudaroo's channels form the terms of use for Sudaroo. Users' use of Sudaroo implies acceptance of all terms. Updates may be made to this contract according to any changes in applicable laws or added features. Users will be informed of changes via this page and are encouraged to check periodically. Access to Sudaroo’s terms is always available through this page. Continued use of Sudaroo services, including browsing, implies agreement with the contract terms. Sudaroo is managed in Iran and follows the laws of the Islamic Republic of Iran. All transactions on Sudaroo must comply with commercial law and the electronic commerce law of the Islamic Republic of Iran. Users must comply with all national laws and refrain from any activities contrary to Sudaroo’s terms. Creating an account on Sudaroo or adhering to this contract and other documents does not create a commitment, partnership, joint venture, employment, or agent relationship between the user and Sudaroo. According to articles 210 and 211 of the Civil Code, Sudaroo’s services are provided to persons with legal capacity to contract, confirming that members meet these requirements. Users are required to read and understand the terms before using Sudaroo, and using Sudaroo’s application means the user has gained the necessary training and is fully responsible for all their transactions through the website, web version, and application. Users cannot make claims against Sudaroo based on lack of awareness or notification. No user may transfer their username to another individual or company. Responsibility for any violations lies solely with the registered user. Communications outside of Sudaroo are not enforceable by Sudaroo unless official documents. Sudaroo reserves the right to change or amend this contract and the platform’s operating methods as stated in the contract page, effective immediately upon publication. Sudaroo also reserves the right to accept or reject any service request on the mobile or web platforms and to deny service to specific users. Sudaroo may suspend any user account it suspects of suspicious activity and request additional identification documents. Upon submission, Sudaroo may lift the suspension and restore account access. In cases of user violations of Sudaroo’s contract, the account will be suspended, and all services withheld, prohibiting the user from creating another account or using a third-party account.


Sudaroo is not responsible for any unforeseen events, such as internet, server, or power outages beyond its control or authority. User claims resulting from this contract or any other reason are secured by Sudaroo, which reserves the right to fulfill its claims or cover expenses from user claims or security deposits. Sudaroo reserves the right to take unilateral action, including account restriction (buyer or seller), suspension, blocking, or deletion, while retaining the user's content without prior notice. Sudaroo may pursue legal and contractual remedies for user violations, as per this document and applicable laws.


No violation of any part of Sudaroo’s contract is permitted.

The following transactions are prohibited on Sudaroo:


1) Transactions involving items not owned or authorized for sale by the seller. 2) Transactions that violate intellectual property rights of items with such protections. 3) Transactions involving historical or cultural items obtained through illegal excavation. 4) Transactions that unlawfully disclose others' personal information. 5) Transactions related to pyramid schemes, network marketing, or multi-level marketing programs. 6) Gambling and betting, as well as any activities involving entry fees for prize-based competitions. 7) Transactions prohibited by the laws of the Islamic Republic of Iran. 8) Users must adhere to Sudaroo’s legal, ethical, and Islamic standards in their listings, taking responsibility before the authorities or third parties, including: 1) Registering products with unrelated images.


2) Registering human body parts.


3) Registering real estate and immovable properties.


4) Registering smuggled or government-owned goods.


5) Registering products with unrelated descriptions or specifications.


6) Registering items whose exchange is prohibited by law.


7) Registering stolen property.


8) Registering items that pose a serious risk to consumers.


9) Registering items obtained through criminal activity or violation of national regulations.


10) Listing items that are subject to specific regulations and provisions.


11) Listing drugs and psychoactive substances, including their components and related accessories.


12) Listing items that are inappropriate or contain titles and images that are against moral standards.


13) Listing items related to gambling, betting, and lotteries.


14) Listing items related to network marketing, multi-level marketing, pyramid schemes, matrix schemes, etc.


15) Listing items belonging to the country’s cultural heritage.


16) Listing any items that are illegal according to the laws of the Islamic Republic of Iran.


17) Listing transactions involving gold, silver, jewelry, and precious stones in the form of coins and non-coins.


18) Any items prohibited under the country's cybercrime laws.


19) Activities involving bypassing the Islamic Republic of Iran’s filtering system.


20) Any training related to hacking, penetration, and unauthorized access.


21) Items that do not respect publisher rights (violating copyright laws).


22) Items that have not been approved by the Ministry of Culture and Islamic Guidance of the Islamic Republic of Iran.


23) Cigarettes and other tobacco products.


24) Alcoholic beverages and intoxicating drinks.


25) Various types of firearms and cold weapons.


26) Items whose exchange contradicts Islamic customs.


27) Items that promote or facilitate illegal activities.


28) Committing acts that constitute fraud or are deemed equivalent to fraud.


29) Violating the laws and regulations of the Islamic Republic of Iran, including criminal, civil, financial, commercial, banking, tax, customs, administrative laws, and especially the electronic commerce law, cybercrime law, and anti-money laundering law.


30) Violation of authors, composers, and artists' rights or the rights specified in the law of patents, industrial designs, trademarks, the law protecting the rights of software creators, and the law on translation and reproduction of books, publications, and audio works.


31) Committing acts that constitute fraud or are deemed equivalent to fraud.


32) Use of anonymous proxies.


33) Conducting transactions or using services in a way that results in complaints or fines against Sudaroo or any of its users.


34) Abuse or violation of cybercrime laws.


35) Disclosure or distribution of other users' information or using that information for commercial purposes.


36) Sending unsolicited electronic messages and spam to other users or misusing services for financial gain.


37) Attempting to interfere with or disrupt the Sudaroo website or services.


38) Any partial or complete copying of the site without prior permission from Sudaroo.


39) Using disruptive software, such as viruses, trojans, internet worms, or any malware that interferes with company systems or steals information.


40) Conducting charity-related activities and collecting donations.


41) Any misuse of the Sudaroo platform or automated use of the software is prohibited, and violators will be dealt with accordingly.


42) Engaging in prohibited activities listed on the website of the Committee for Determining Instances of Criminal Content (http://internet.ir).


The Sudaroo platform is established in the Islamic Republic of Iran and complies with the laws of this country. Consequently, all user information used for illegal or unauthorized purposes will be handed over to the relevant legal and judicial authorities.


Membership and registration on Sudaroo are free, and all individuals or representatives of legal entities who are at least 18 years old and legally competent can register on Sudaroo with their true information to use its services. To access Sudaroo's services, users must accept its terms and conditions and create a personal account before buying and selling goods and services on the platform.


To create an account on Sudaroo, a valid mobile number registered to the user is required, and the user is fully responsible for the accuracy and ownership of the provided number. Each mobile number can only create one account. Creating an account on Sudaroo using automated or system-controlled means is prohibited and considered a violation, handled according to national laws and Sudaroo regulations. Each person or entity is allowed only one account unless otherwise approved by Sudaroo. In cases of unauthorized multiple accounts, Sudaroo may deactivate them all and take further action. Users are required to provide accurate information during registration, and any incomplete or incorrect information is the user's responsibility.


By creating an account, the user consents to Sudaroo's access and use of their information as outlined in these regulations or other documents and guidelines. Creating usernames that reference banks, well-known brands, organizations, institutions, ministries, or legal authorities without responsibility is against the rules, and upon notice, such accounts will be blocked. Sudaroo is committed to protecting users' privacy and personal information, using it to enhance user experience and facilitate commercial relationships. To ensure security, verification, legal compliance, efficiency, and accuracy in Sudaroo's operations, users' information may be reviewed by authorized employees or consultants.


Each Sudaroo user can link only one bank account identified by an IBAN (Shaba) number. Users must ensure the accuracy of this number and that it belongs to them, as Sudaroo holds no responsibility for accounts or cards not registered in the user’s name or for any mistaken transfers caused by incorrect IBAN entries. Responsibility for errors in fund transfers falls solely on the user.


The user's trade name displayed on the site, in the account, or on invoices is the name provided by the user in their account, and the user asserts ownership of that trade name. If it is discovered otherwise, all legal and criminal liabilities lie with the user. If the user fails to respond to Sudaroo's inquiry within three days, they are liable for all damages incurred by Sudaroo.


The user is committed to maintaining the confidentiality of their username and password, taking all necessary precautions to prevent misuse, including periodic password changes and avoiding disclosure to third parties. The user is responsible for any negligence, and all activities performed under their account are their responsibility. In the event of any issue or misuse by third parties, the user is accountable to the relevant authorities and must promptly change their password.


The user must promptly report any issues to Sudaroo and cooperate to resolve them. Otherwise, they are responsible for any misuse of the Sudaroo website or web app. Sudaroo keeps users' personal information confidential and makes every effort to protect it. The user commits to not attempting to hack any data on Sudaroo and to refrain from any collaboration with individuals or organizations involved in such activities. Sudaroo may contact users via phone, SMS, email, the Sudaroo website, social media, messaging apps, or other channels, and official communication methods are posted on Sudaroo's pages. Sudaroo holds no liability for any misuse of fraudulent contacts.


Misuse of Sudaroo's services in any form, disrupting services, using malicious or spyware programs, unfairly returning exchanged goods, attempting unauthorized account access, using bots or harmful methods to access site information or content, creating service disruptions, or overloading any Sudaroo service or server is strictly prohibited. Sudaroo reserves the right to suspend accounts for such violations and pursue legal action. Violations of users' rights and current laws are prohibited, and Sudaroo bears no responsibility in such cases. If actions are delayed, this does not imply that Sudaroo disregards the rights raised. To prevent money laundering and fraud, restrictions are in place, including allowing users to transfer credit only to their registered bank account. Registering and using other people's bank accounts is prohibited and results in account suspension.

Seller Obligations


The seller must comply with Sudaroo's policies and conduct their activities in accordance with the listed conditions and details of their goods and services. The seller must own the goods and services they sell through Sudaroo. Sellers should use only their own banking information (IBAN, account, card, etc.) for payments. Seller activities are linked to their account, and certain account details are visible to the public on Sudaroo's website and affiliated tools, and some information is also accessible online (such as in search results and social networks).


Note: Seller information available to the public includes name, logo, joining date, various participations, customer reviews, ratings on product and service pages, categories, and rankings conducted by Sudaroo. Additionally, products sold, user reviews on various Sudaroo pages, followers, store page, and product and service listings are visible to other users.


Sudaroo does not grant sellers exclusive rights to sell, and complaints regarding sales by other sellers or the prices of items in their possession are not admissible. Sudaroo has no involvement in pricing items. Prices are determined solely by sellers in compliance with standard pricing regulations (as per laws, guidelines from regulatory bodies, or approved pricing lists) and are solely the seller's responsibility. The seller acknowledges that all sales through Sudaroo are final and waives all rescission rights, including those for significant disparities.


If there is any financial loss or personal injury during the delivery, acceptance, use, or access to goods due to negligence or defects, such as substandard quality, harmful components, or contamination, the seller is liable for all damages towards Sudaroo, its business partners, staff, representatives, customers, and third parties. The seller declares that they have the legal and technical qualifications to own, offer, sell, and deliver the items and services under this contract, and the goods are domestically produced or legally imported and not contraband. Sudaroo is not responsible for seller interactions outside of the platform, and all liabilities remain with the seller. Sudaroo monitors only interactions within its platform under its terms and conditions.

Contract Termination Rules


User violations leading to complete account deletion follow Sudaroo’s contract terms. Judicial and legal orders for contract termination. Sudaroo’s unilateral right to terminate the contract and suspend or delete the user account. User’s death or incapacitation upon notification to Sudaroo. A written request from the user with Sudaroo’s agreement for contract termination and account suspension. Post-termination, the user’s content on Sudaroo remains accessible as long as Sudaroo deems necessary. Contract termination does not negate unpaid invoices for either party. Registered orders before termination remain valid unless there is a new agreement between Sudaroo, the seller, and the buyer. If sellers fail to fulfill commitments before contract termination, Sudaroo and buyers retain the right to pursue legal claims, and Sudaroo may deduct its and buyers’ claims from the seller’s account.
